Terms and Conditions

Please take the time to carefully review my terms and conditions, as it outlines the agreements of our collaboration. I require your review and acceptance before editing your manuscript. I appreciate the trust you have placed in me as your editor, and I look forward to working together in bringing your manuscript to its fullest potential!

  • Payment

The first half of the total agreed-upon fee is due upon author’s submission of the first revision. The remaining balance (second half) of the total agreed-upon fee is due upon the author’s submission of the second revision. If additional revisions are requested beyond the initial agreement, the payment terms for those revisions will be outlined separately.

    Confidentiality

Both parties agree to keep all materials, discussions, and work-in-progress confidential. The editor will not share, distribute, or use the manuscript or its content for any purpose other than the agreed-upon editing work. Confidentiality does not apply if the author provides written consent for disclosure, the information is already publicly available, or disclosure is required by law.

    Intellectual property

The author retains full ownership and copyright of their manuscript. The editor does not claim any rights to the manuscript, edits, or final work. Any editorial notes, style sheets, or feedback provided remain the intellectual property of the editor but are licensed for the author’s personal use.

    Privacy policy

The editor values the privacy and confidentiality of all parties and is committed to protecting personal data to the best of their ability. They do not use or share any data provided by the author, except as necessary to perform the services requested. The author agrees to respect and uphold this privacy policy throughout the duration of the agreement. Any data shared between parties will be handled securely. In the event of a data breach, both parties will promptly notify one another and take appropriate action to mitigate any risks. The author acknowledges and accepts these terms regarding the handling of their personal data.

    Service modification

The editor reserves the right to modify, suspend, or discontinue their services at any time, with reasonable notice provided to the author. If a service is discontinued after payment but before completion, a partial refund may be issued based on the work completed. The editor reserves the right to refuse or discontinue a project if the material violates their ethical or legal standards, with any refund determined at their discretion.

    Limitation of liability

The final responsibility for the manuscript’s content, style, and accuracy rests with the author. While the editor strives for accuracy, clarity, and quality in my editing services, the editor is not responsible for:

    • Any indirect, special, or consequential damages arising from the use of their edits.

    • Errors or omissions that remain in the final manuscript after the author’s review.

    • Rejection from publishers, agents, or other third parties.

    • Any factual inaccuracies in the manuscript (fact-checking is not included in these services).

    Indemnity
The author agrees to indemnify and hold the editor harmless from any and all claims, losses, liabilities, damages, costs, or expenses (including reasonable legal fees) arising out of or related to the author’s use of the edited material, the content of the manuscript, or any third-party claims based on the manuscript’s publication, distribution, or use.

    Warranty and warranty disclaimers

The editor provides their services "as is" and does not guarantee publication, acceptance, or specific outcomes from my editing. While the editor makes every effort to enhance clarity, readability, and coherence, they do not warrant that their edits will meet any particular publishing standard beyond agreed-upon services.

    Resolving disputes

This agreement shall be governed by and construed in accordance with the laws of Washington State, United States. Any disputes arising from this agreement will first be addressed through good-faith negotiation. If unresolved, disputes shall be settled through mediation or arbitration in the City of Seattle with each party responsible for its own legal fees.

    AI usage and disclosure

The editor does not use AI (artificial intelligence) tools or software for the purpose of editing any submitted manuscript. The author agrees to disclose any sections of the manuscript that were generated using AI technology. The editor will not be held liable for any legal implications, claims, or consequences arising from the use of AI-generated content within the manuscript. It is the author's responsibility to ensure that any AI-generated material is appropriately disclosed and complies with relevant laws and regulations.

These terms and conditions were created with the assistance of artificial intelligence (AI) tools. While the content has been reviewed and customized by the editor, AI played a significant role in generating the initial draft. The editor retains full responsibility for the final content and its accuracy.

Right to terminate and refund policy

Either party may terminate this agreement with written notice. If termination occurs:

    • Before editing begins, a full refund will be issued.

    • After editing has started, a partial refund may be considered at the discretion of the editor, based on the work completed.

    • Certain provisions, such as confidentiality, payment obligations, indemnity, and liability limitations, shall survive termination.

  • Custom Editing Services

The editor agrees to provide editorial services tailored to the author’s specific needs and project scope. These services may include developmental editing, line editing, or copyediting—or a combination thereof—as agreed upon in writing prior to the start of the project.

Custom editing engagements focus only on the portions of the manuscript or materials specified by the author. The editor will address the requested areas of concern (such as structure, pacing, clarity, style, or mechanics) while preserving the author’s unique voice and creative intent.

Unless otherwise stated, this service includes:

    • A written editorial review or tracked revisions (depending on the service type)

    • One (1) follow-up email exchange or brief consultation to clarify feedback

This service does not include fact-checking, citation formatting, permissions research, or publication formatting. Any additional requests or revisions outside the agreed scope may be subject to a separate agreement or fee adjustment.

    Editing Package Services

Scope of Work: The editor agrees to provide holistic editorial services that integrate developmental editing, line editing, and copyediting across the submitted manuscript. This comprehensive approach addresses both the big-picture elements (such as structure, voice, pacing, and character development) and sentence-level concerns (such as clarity, style, grammar, and consistency).

    Each editing package includes:

    • A Discovery Session to clarify the author’s goals, creative vision, and project scope

    • A full manuscript review with written editorial feedback, incorporating:

    • Developmental editing: structural suggestions, narrative flow, thematic cohesion, and character development

    • Line editing: language refinement, tone, rhythm, and sentence structure

    • Copyediting: grammar, punctuation, spelling, usage, and internal consistency

    • Two rounds of holistic revision support, tailored to the manuscript's needs and package tier

    • One (1) Milestone Session to discuss revisions and next steps

    • A 20% discount on editing services for a future manuscript (valid for up to 12 months after the initial editing engagement)

This service does not include fact-checking, citation formatting, permissions research, or formatting for publication. Additional services beyond the package scope may be arranged separately.

    Individual Sessions

For authors booking a one-time or stand-alone coaching session outside of a package, session objectives and fees will be tailored to the author’s immediate needs as identified at the time of booking or during the session itself. Each session will aim to provide focused support through verbal feedback, brainstorming, developmental insight, or light editorial guidance.

    Scope of Work

The coach agrees to provide book coaching services that may include goal-setting, developmental feedback, accountability check-ins, submission reviews, and editorial insights. Each coaching package includes a set amount of complementary editing (e.g., 1,000–3,000 words per submission, depending on the package). This editing is focused on supporting the coaching process and is not a substitute for comprehensive editorial services unless otherwise agreed in writing.

Both parties will agree to the scope of services in advance of any billable work. Billable services include scheduled meetings as well as work performed outside of meetings, such as manuscript editing, review, and feedback preparation. When no coaching package is in place, billable services are charged at the standard hourly rate. If the author transitions to a coaching package, the agreed-upon package pricing will apply to all services included within that package. Any additional services beyond the scope of the package will be billed separately at the standard hourly rate.

    Session Rescheduling and Missed Appointments

The author may reschedule with at least 24 hours’ notice. One (1) makeup session per bundle is allowed for emergencies or unavoidable conflict. Missed sessions without notice are considered forfeited.
